Terms of Service
These Terms of Service (“Terms”) are a binding agreement between you and OvoWpp (“OvoWpp”, “we”, “us”). By accessing our website or using the OvoWpp platform, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
OvoWpp provides a software-as-a-service (SaaS) platform for WhatsApp-related customer communication and marketing workflows. Features may include campaigns, inbox, chatbot tools, CRM features, APIs, and related documentation (collectively, the “Service”). Features available to you depend on your plan and account status. We may modify, add, or discontinue features with reasonable notice when practicable.
OvoWpp is not affiliated with Meta Platforms, Inc. except as an independent product that may integrate with WhatsApp / Meta APIs subject to Meta’s rules. “WhatsApp” and related marks belong to their respective owners.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding login credentials and for all activity under your account.
- If you use the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.
3. Plans, fees, and billing
Paid plans, prices, billing intervals, and included limits are described on our Pricing page or in an order form. Prices may change with notice for subsequent billing periods.
- Fees are charged in advance unless otherwise stated.
- Taxes may apply in addition to listed prices.
- Unless required by law or expressly stated otherwise, fees are non-refundable once a billing period has started.
- Failure to pay may result in suspension or termination of access.
Free trials or promotional offers, if any, are subject to their stated conditions and may be changed or withdrawn.
4. Acceptable use
You agree not to misuse the Service. Without limitation, you must not:
- Violate applicable laws, including spam, privacy, consumer protection, and telecommunications laws;
- Send unsolicited messages or violate WhatsApp / Meta commerce, messaging, or anti-spam policies;
- Upload or transmit malware, or attempt to disrupt or reverse engineer the Service except as allowed by law;
- Infringe intellectual property or privacy rights of others;
- Use the Service for fraud, phishing, impersonation, or other deceptive practices;
- Resell or provide the Service to third parties except as expressly permitted in writing;
- Exceed rate limits, scrape the Service in an abusive way, or interfere with other users.
You are solely responsible for the content of messages and campaigns you send, and for obtaining any required consents from your end customers/recipients.
5. Customer data and privacy
You retain ownership of data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service, and as described in our Privacy Policy.
You represent that you have all rights and consents needed to process Customer Data (including contact lists) through OvoWpp and WhatsApp / Meta channels.
6. Third-party services (WhatsApp / Meta and others)
The Service may depend on third-party platforms (including Meta WhatsApp Business APIs), hosting, payment processors, and analytics or advertising partners. Your use of those platforms is subject to their separate terms. We are not responsible for outages, policy enforcement, account bans, messaging fees, or changes imposed by third parties.
If Meta or another provider suspends or limits messaging related to your use, we may suspend related features without liability beyond what these Terms allow.
7. Website content and advertising
Our public website (including blog posts) is for general information. It does not constitute legal, financial, or professional advice. The website may display third-party advertisements (including Google AdSense). Ad networks are governed by their own policies; see our Privacy Policy and Cookie Policy.
8. Intellectual property
OvoWpp and its licensors own the Service, software, branding, and website content (excluding Customer Data). We grant you a limited, non-exclusive, non-transferable right to access the Service during your subscription for your internal business purposes. You may not copy, modify, or create derivative works of our software except as expressly allowed.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms and protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality.
10. Disclaimers
THE SERVICE AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MESSAGE DELIVERY RATES WILL MEET ANY PARTICULAR LEVEL.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVOWPP AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO OVOWPP FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.
12. Indemnification
You will defend and indemnify OvoWpp against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your messaging content, your violation of these Terms or of Meta / WhatsApp rules, or your violation of law or third-party rights.
13. Suspension and termination
You may stop using the Service and close your account at any time (subject to any outstanding fees). We may suspend or terminate access if you breach these Terms, create risk for us or others, fail to pay, or if required by a third-party platform or by law. Upon termination, your right to use the Service ends. Provisions that by nature should survive (including Sections 8–12, 14–16) will survive.
14. Export and sanctions
You may not use the Service in violation of export control or sanctions laws. You represent that you are not prohibited from receiving the Service under applicable U.S. or other laws.
15. Changes to the Terms
We may update these Terms from time to time. The “Last updated” date will change when we do. If changes are material, we will provide reasonable notice (for example by email or in-product notice). Continued use after the effective date constitutes acceptance, except where prohibited by law.
16. Governing law and disputes
These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-law rules. Courts located in Oregon will have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect intellectual property or confidential information. If you are a consumer in a jurisdiction that requires otherwise, mandatory local consumer protections still apply.
17. Miscellaneous
- These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement regarding the Service.
- If a provision is unenforceable, the remainder stays in effect.
- Our failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
